These terms govern the use of this website and any services provided by Stonefall. Please read them. By using this website or engaging our services, you accept these terms in full. If you do not accept them, please do not use this site or our services.

1. Definitions

As used in these terms:

  • "Stonefall", "we", "us", "our" — the procurement consulting practice operating under the name Stonefall, based in Singapore
  • "Client", "you", "your" — any individual or organisation that uses this website or engages our services
  • "Services" — the consulting offerings described on this website, including the Spend Visibility Review, Supplier Consolidation Workshop, and Procurement Lead Sounding-Board
  • "Engagement" — a specific service arrangement entered into between Stonefall and a client
  • "Agreement" — these terms, together with any engagement-specific documentation exchanged between the parties
  • "Deliverables" — written outputs produced by Stonefall in the course of an engagement

2. Acceptance of Terms

By accessing this website or engaging our services, you confirm that:

  • You are at least 18 years of age
  • You have the legal capacity to enter a binding agreement
  • You are acting on behalf of a legitimate organisation or in your personal professional capacity
  • You accept these terms without modification

If you are entering into these terms on behalf of a company or other legal entity, you represent that you have authority to bind that entity.

3. Services

Stonefall provides advisory and facilitation services in the area of procurement and supplier management. Our services are described on this website as general guidance only. The specific scope, deliverables, timeline, and terms of any engagement are agreed separately with each client before work begins.

We operate from Singapore and serve clients primarily based in Singapore. Services may be provided remotely or in person by mutual agreement.

We reserve the right to decline or discontinue a service engagement where we determine there is a conflict of interest or where the engagement would not be appropriate.

4. Engagement Terms

Spend Visibility Review (S$540)

A three-week structured review of the client's external spend. The engagement begins upon receipt of relevant data and written confirmation from the client. Deliverables consist of a written categorisation document and a one-page spend summary. Timeline is approximately three weeks from the date data is provided.

Supplier Consolidation Workshop (S$170)

A one-day facilitated workshop for up to ten participants from the client's procurement and operations team. The output is a written one-page summary of the team's consolidated view by category. Workshop dates are agreed between the parties. Rescheduling requests received fewer than 3 business days before the workshop date may incur an administrative fee.

Procurement Lead Sounding-Board (S$950 per month)

A monthly retainer arrangement including two scheduled calls and associated written notes. Either party may terminate this arrangement with one calendar month's written notice. The arrangement continues on a rolling monthly basis until terminated. Fees are due at the beginning of each month covered.

5. Payment Terms

  • All fees are stated in Singapore Dollars (SGD) and are exclusive of GST where applicable
  • Payment is due within 14 days of invoice, unless otherwise agreed in writing
  • Payment may be made by bank transfer to account details provided on the invoice
  • Late payments may attract interest at the rate of 1.5% per month on the outstanding amount
  • Stonefall reserves the right to suspend services if payment is overdue by more than 21 days after notice

Cancellation and refunds: Where a client cancels a confirmed engagement before work has commenced, a full refund will be issued. Where work has commenced, a refund will be issued on a pro-rated basis at Stonefall's reasonable assessment of the work completed. Workshop fees are non-refundable where cancellation is received fewer than 3 business days before the scheduled date.

6. Confidentiality

We treat all client information shared in the course of an engagement as confidential. We will not disclose client data, documents, or the substance of engagement discussions to any third party without the client's written consent, except where required by law.

Clients are similarly expected to treat any Stonefall methodologies, frameworks, or materials shared during an engagement as confidential and not for redistribution.

This obligation of confidentiality survives the termination of any engagement.

7. Intellectual Property

All content on this website — including text, structure, and visual design — is owned by Stonefall or its licensors. You may not reproduce, republish, or distribute website content without written permission.

Deliverables produced by Stonefall in the course of an engagement are provided to the client for their internal use. The client may use and adapt deliverables freely for internal purposes. Stonefall retains ownership of underlying methodologies, templates, and frameworks used to produce them.

Materials and data provided by the client remain the client's property. Stonefall does not claim any ownership over client-provided content.

8. Acceptable Use

When using this website you agree not to:

  • Use the website in any way that violates applicable laws or regulations
  • Attempt to gain unauthorised access to any part of the website or its systems
  • Transmit malicious code or interfere with the website's operation
  • Misrepresent your identity or the organisation you represent
  • Use automated tools to scrape or extract content without permission

9. Disclaimers

Our services constitute advisory and facilitation support. We provide our honest professional view based on the information available to us. We do not make representations, warranties, or commitments regarding specific outcomes, savings, or results from any engagement.

This website and its content are provided in good faith for informational purposes. We do not warrant that the information on this website is current, complete, or free from error. We are not a law firm, accounting practice, or regulated financial service. Nothing on this website constitutes legal, financial, or regulatory advice.

This website is provided "as available" without warranty of uninterrupted access.

10. Limitation of Liability

To the fullest extent permitted under Singapore law:

  • Stonefall's total liability to any client in connection with any engagement shall not exceed the fees paid by that client for the relevant engagement
  • We are not liable for indirect, incidental, or consequential loss of any kind, including loss of revenue, loss of contracts, or loss of anticipated savings
  • We are not liable for decisions made by the client based on deliverables or advice provided
  • We are not liable for service disruption caused by events beyond our reasonable control

Nothing in these terms limits liability for death, personal injury, or fraud caused by our negligence.

11. Termination

Either party may terminate an engagement with written notice as described in the relevant engagement terms (Section 4 above). Stonefall may terminate an engagement immediately in the event of material breach by the client, including non-payment after notice.

On termination, Stonefall will deliver any work completed to the date of termination, and the client will pay for that work at a pro-rated rate. Provisions relating to confidentiality, intellectual property, and liability survive termination.

12. Dispute Resolution

These terms are governed by the laws of Singapore. Any dispute arising under or in connection with these terms or any engagement shall be subject to the exclusive jurisdiction of the courts of Singapore.

Before commencing any formal proceedings, the parties agree to attempt in good faith to resolve any dispute through direct discussion. If the parties cannot resolve the matter within 30 days, either party may refer it to mediation under the Singapore Mediation Centre's rules before resorting to litigation.

13. General Provisions

  • Entire agreement: These terms, together with any engagement documentation, constitute the entire agreement between the parties on the subject matter herein
  • Severability: If any provision of these terms is found to be unenforceable, the remaining provisions continue in full force
  • Waiver: Failure to enforce any provision does not constitute a waiver of the right to enforce it at a later time
  • Assignment: You may not assign your rights or obligations under these terms without Stonefall's prior written consent
  • No partnership: Nothing in these terms creates an employment, partnership, or agency relationship between the parties

14. Changes to These Terms

We may update these terms from time to time. When we do, the "Last updated" date at the top of this page will be revised. For active engagement clients, we will provide notice of material changes with at least 14 days' advance notice. Continued use of this website or our services after the effective date of any change constitutes acceptance of the updated terms.
